RESOLUTION OF STANFORD ELM PROPERTY OWNERS ASSOCIATION
In order to allow for more members on the Association Board of Directors the following change is made to Section 1 Article IV of the Bylaws:
ARTICLE IV
BOARD OF DIRECTORS; SELECTION, TERM OF OFFICE
Section 1. Number. The affairs of the
Association shall be managed by a Board of Directors, who need not be members
of the Association. The initial Board of Directors shall consist of the
three (3) persons, designated by the Certificate of Incorporation of the
Association, which shall serve until the first annual meeting of the
membership, or until their successors are elected, and thereafter the Board
shall consist of five (5) up to seven Directors.
CERTIFICATE OF ADOPTION OF RESOLUTION
I, Doug Waldman, do hereby certify that I am Secretary of
The Board of Directors of Stanford Elm Property Owners’ Association, that the
foregoing is a true and complete transcript of the Resolution duly adopted on
the 16th day of January, 2003 by the Board of Director’s of said
Association at the 2003 Annual Homeowners Association Meeting which was regularly
called and duly held and at which a quorum was present and is as the same
appears in the records of said association, and that said resolution has not
been amended or rescinded.
